Dispatch Agent Agreement

Last updated

These terms are pending review by a Nigerian legal practitioner and may change before launch.

This agreement sets out the terms dispatch agents accept when handling Vasrel deliveries.

What this is

This sets out the terms you work under as a dispatch agent for Vasrel Limited.

You are an independent contractor. You are not an employee, partner or agent of Vasrel, and nothing here entitles you to employment benefits. You are free to work for anyone else, including other delivery platforms.

Runs and assignment

Runs are assigned to you based on the preferences on your profile. You can turn a run down. Turning runs down is a commercial matter between us, not a breach of this agreement, but it affects whether you keep getting assigned work.

If you won't be available, tell us at least a day ahead, either in the dispatch app or by informing an admin. Say which days you're out for.

What you get paid

You are paid per run. The rate for a run is shown to you when it is assigned.

You're paid as soon as the delivery code is entered.

Your costs are yours. Fuel, maintenance, repairs, data, insurance, licensing, anything to do with your vehicle. Vasrel does not reimburse them and does not provide a vehicle.

Your vehicle and licence

You must hold a valid licence for the vehicle you use and keep your vehicle roadworthy and insured as the law requires. We may ask you to show us your documents at any time.

You are responsible for how you ride or drive. Vasrel is not responsible for accidents, traffic offences, fines or anything else arising from your use of your vehicle.

Recording pickups and deliveries

You must record every pickup and every delivery, with sound, and upload the recordings in the app. This is how disputes about condition, quantity, tampering and handover get settled.

Record the items and the handover, not yourself. Keep your phone charged and keep enough storage free to record a full run. Turning up unable to record is your problem, not ours.

The recordings belong to Vasrel. You can view your own recordings in the app. You cannot delete or edit them.

Recordings are kept for 90 days and then deleted, except where one relates to an open dispute, complaint or investigation.

Delivery codes

Every order has a code. The customer gives it to you at handover, and entering it is what confirms delivery.

You must not hand over an order without receiving the code from the customer, enter a code the customer did not give you, or mark an order delivered before you have arrived and handed it over.

Only the code holder receives the order. Not guards, not neighbours, not household staff.

When a customer isn't there

Wait up to an hour and try the number on the order. If you still can't complete the delivery, tell an admin and follow the instruction you're given.

Do not leave an order at an address, with a third party, or anywhere unattended. Do not keep it, eat it, sell it or throw it away. It stays with you until we tell you what to do with it, which may be returning it to the vendor to hold.

Customer information

You get the customer's first name, a masked phone number, and the delivery address, for that delivery only.

Use it for that delivery and nothing else. Do not save it, share it, or contact a customer for any reason other than the run you are on.

Calls

Every call you make to a customer or vendor is recorded, whether it goes through the app or through a Vasrel phone number. Vasrel staff may listen to any of them.

Staying on the platform

A customer or vendor you meet through Vasrel stays on Vasrel. Do not give out your own contact details, take orders directly, accept payment from a customer, or arrange anything off the platform with a customer or vendor you met through us.

Loss and damage

Goods are your responsibility from the moment you collect them until the code is entered at handover. If they are lost, stolen, damaged or spoiled while with you, you are liable for their value.

Whether the customer is refunded is between Vasrel and the customer, and it does not change what you owe us.

Penalties and removal

Fraud means immediate removal, with no warning. That includes handing over without a code, entering a code you were not given, marking an order delivered before it was, taking goods, arranging off-platform, and anything else dishonest.

Other breaches, like failing to record, failing to upload, or going missing on an assigned run without notice, carry penalties and can lead to removal. The penalties that apply are shown in the dispatch app.

We can stop assigning you runs at any time, for any reason. You can stop accepting them at any time.

Liability

Vasrel is not liable to you for anything outside our control, including traffic, road conditions, weather, network or power failure, bank or payment processor downtime, or the acts of customers and vendors.

We do not guarantee you any volume of runs or any level of income, and we are not liable for earnings you expected but did not receive.

Where we are liable to you at all, our liability is limited to the fee for the run in question.

If Vasrel suffers a loss because of something you did, you will reimburse us for it.

Changes

We may change this agreement. We will tell you before a change takes effect, and continuing to accept runs after that means you accept it.

Governing law

This agreement is governed by Nigerian law, and the courts of Lagos State have jurisdiction over any dispute arising from it.
